PAUL EAGLAND ANNOUNCES THE ACQUISITION OF COMMON SHARES OF GOLD HAWK RESOURCES INC.

Effective Sept. 28, 2010, Paul Eagland acquired beneficial ownership and control over 4,369,842 common shares of Gold Hawk Resources Inc., representing approximately 18 per cent of the issued and outstanding common shares of Gold Hawk. The common shares were acquired pursuant to a share purchase agreement dated Sept. 1, 2010.

Pursuant to the share purchase agreement, Gold Hawk acquired all of the issued and outstanding common shares of a B.C. private company beneficially owned, directly or indirectly, by, among others, Mr. Eagland in consideration for the issue by Gold Hawk of an aggregate of 11.2 million common shares of Gold Hawk at a deemed price of $1.50 per common share. In addition, Gold Hawk repaid $700,000 of indebtedness of a subsidiary of the target. The common shares of Gold Hawk beneficially acquired by Mr. Eagland are subject to a lock-up agreement restricting the voting thereof for a period of two years and the sale of such common shares in excess of one-quarter of the total number acquired pursuant to the share purchase agreement in any six-month period subsequent to the closing of the transaction, other than on the terms and conditions stipulated therein.

Prior to the completion of the transaction, Mr. Eagland did not own or control, directly or indirectly, any common shares of Gold Hawk. Subsequent to the completion of the transaction, Mr. Eagland beneficially owns and controls approximately 18 per cent of the total issued and outstanding common shares of Gold Hawk. Mr. Eagland acquired the common shares of Gold Hawk in connection with the sale of all of his common share interest in the target and may increase or decrease his ownership position in the common shares of Gold Hawk in the future.
