He left it out because it exists only in your imagination. If you can find anything in the prospectus that guarantees the shares will be worth a minimum of $2 each, please post it here.

in your imaginative universe, the exchange ratio is 12.5 shares, but in reality, yellow cannot issue common  shares at $2.00 because last i checked, the commons were trading for 6 cents. and i'm not gonna bother digging out the prospectus, which states a guaranteed price of $25, either through:

1) redemption at the option of yellow - off the table

2) conversion at the option of yellow - off the table

3) retraction at the option of the holder - ding ding ding ding ding ding!!!!!!!
